These Terms and Conditions govern your use of the Visual Syndicate website and any services you engage us to perform. By accessing our site or engaging our services, you agree to be bound by these terms. Please read them carefully.
1. Services
Visual Syndicate provides vertically integrated visual production, cinematic broadcast systems, and crafted film content for live events, broadcasts, and branded productions. Specific deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work or project agreement.
2. Intellectual Property
All creative work, concepts, designs, code, and deliverables produced by Visual Syndicate remain our intellectual property until payment is received in full, at which point ownership transfers to the client as specified in the project agreement.
Pre-existing tools, templates, processes, and proprietary methodologies used in the creation of deliverables remain the sole property of Visual Syndicate at all times.
3. Client Materials
By providing us with content, assets, logos, footage, or other materials for use in a project, you represent and warrant that you have the right to use and authorise us to use such materials. You agree to indemnify Visual Syndicate against any claims arising from our authorised use of materials you supply.
4. Payment
Payment terms are outlined in each individual project agreement. Unless otherwise agreed in writing:
• A deposit is required to secure project scheduling • Final deliverables are released upon receipt of full payment • Late payments may be subject to interest at the applicable statutory rate
All fees are exclusive of applicable taxes unless stated otherwise.
5. Limitation of Liability
To the fullest extent permitted by law, Visual Syndicate shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising in connection with our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project engagement. This obligation survives the conclusion of any project for a period of two (2) years.
7. Termination
Either party may terminate a project engagement by providing written notice. In the event of termination:
• You are responsible for payment of all work completed to the date of termination • Any deposit paid is non-refundable unless otherwise agreed in writing • Visual Syndicate will deliver all completed work product upon receipt of outstanding payment
8. Website Use
The content on this website is provided for general informational purposes. You may not reproduce, distribute, or use any content from this site without our prior written consent. We reserve the right to modify or discontinue any part of the website at any time without notice.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with applicable law. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in the applicable territory.
10. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Changes take effect immediately upon posting to this page. Continued use of our website or services after any changes constitutes your acceptance of the revised terms.
